Overview

The business operated a hotel investment group, partnering with investors to source, secure, and reposition hotels across the investment lifecycle. The company faced cash-flow difficulties driven by lower-than-expected transaction volumes and, after exhausting options to restructure, recapitalise, or realise assets, Olvera was appointed as Voluntary Administrators in 8 May 2026.

Challenges

  • Immediate Liquidity Pressure: The company required urgent funding to continue trading from the point of appointment, with employee wages and critical operating costs needing to be met while a longer-term solution was pursued.
  • Business Continuity: Maintaining operational momentum and employee engagement was essential to preserving the value of the business and its subsidiary interests throughout the administration.
  • Complex Asset and Subsidiary Structure: The company held interests across a number of subsidiary entities, each requiring assessment of value, liabilities, and contingent claims before any sale or restructuring pathway could be confirmed.
  • Creditor and Contingent Liability Management: Identifying and adjudicating the full scope of creditor claims, including employee entitlements and contingent liabilities, was critical to achieving a clean outcome and ensuring the transaction could deliver full recovery.
  • Accelerated Sale Process: Negotiations with a related-party acquirer required careful management to ensure the transaction reflected fair value, withstood creditor scrutiny, and could be executed within the administration timeframe.

Our Approach

Upon appointment, the Administrators moved quickly to secure a funding agreement with a related entity of the company's major shareholder. This arrangement enabled the business to continue trading throughout the administration, including the payment of employee wages and critical operating expenses.

Concurrently, the Administrators undertook a detailed review of the company's financial position, assets, liabilities, and subsidiary entities. This included assessing the value of the company's and its subsidiaries' investments, and investigating creditor claims and contingent liabilities, including employee entitlements.

In parallel, the Administrators conducted negotiations with potential purchasers regarding the acquisition of the company's operating business and key assets. These negotiations resulted in a sale agreement that encompassed the company's core business operations and key assets, with the transaction structured to include the assumption of significant employee, tax, and other creditor liabilities. Stakeholder communications and creditor reporting were maintained throughout.

Results

In early June 2026, the Administrators completed the sale of the company's business and key assets. The transaction, including the assumption of employee, tax, and other creditor liabilities, generated sufficient funds to satisfy all known undisputed creditor claims in full.

As a result of the sale and associated funding arrangements, the company returned to a solvent position. At the reconvened second meeting of creditors in late June 2026, creditors resolved for the administration to end, and control of the company was returned to its Directors.

The outcome was notable enough to draw comment from the ATO's representative at the meeting, who observed that this was likely only the second occasion on which he had seen a voluntary administration conclude with control returned to the Directors and all creditors paid in full.

Key Drivers of Success

  • Rapid securing of a funding agreement at appointment preserved trading continuity and prevented value erosion from day one.
  • A rigorous and transparent assessment of the company's assets, subsidiaries, and creditor claims provided the foundation for a sale process that creditors could have confidence in.
  • Skilled negotiation of a related-party transaction, structured to absorb the company's creditor obligations, delivered a clean and comprehensive resolution within the administration period.

Key Takeaway

This engagement demonstrates what is possible when experienced administrators act decisively within a tight timeframe. By securing immediate funding, maintaining business operations, and negotiating a transaction that absorbed the company's full creditor liability, Olvera achieved a result that is genuinely rare in voluntary administration practice: a solvent company returned to its Directors, with every creditor paid in full. It is a benchmark for what structured, commercially astute administration can deliver.
